Click name to see short profile: Lawrence Kwan - Associate Director, Consulting - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - Tan Lye Huat is the Founder and CEO of HIM Governance Pte Ltd. Besides senior professional and management experience, Mr. Tan sits on the boards of a number of public/listed companies as well as not-for-profit organisations in Singapore and the region. As an independent non-executive director, he contributes significantly in his roles as Chairman or Member of various committees of these boards. Mr. Tan is actively engaged in representing the interests of shareowners, has consulted with boards, conducted governance seminars and workshops, delivered certified governance programs, spoken at numerous conferences, participated actively at forums, and contributed articles on governance both in the region and internationally. Mr Tan is a member of the Institute of Directors (IoD, UK), the International Corporate Governance Network (ICGN, UK), the International Policy Governance® Association (IPGA, USA), the Australian Institute of Company Directors (AICD), and the Singapore Institute of Directors (SID). Mr Tan has also been accorded the prestigious title of “Chartered Director” of the IoD (UK) and is a founding member of the Policy Governance® Association of the UK (UKPGA). He contributes to the corporate governance initiatives of a number of other prominent bodies. He is a Fellow of both the Chartered Institute of Management Accountants (FCMA) and the Association of Chartered Certified Accountants (FCCA), and is also a member of the Institute of Certified Public Accountants of Singapore (ICPAS). - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - - Lawrence Kwan is our Associate Director, Consulting, and provides support in various consultancy projects. He is also currently involved with the development of a governance toolkit. Lawrence was the Managing Director of a firm of corporate secretarial, share registrar and accounting/payroll services provider till his retirement in January 2005. He has more than 30 years of experience in the field of professional corporate secretarial services. He was company secretary for those public listed companies which were in his portfolio of clients. Since his retirement, he has been actively involved as a Consultant to a corporate services provider in the areas of corporate secretarial services for local and off-shore companies and also on issues relating to compliance with the Singapore Stock Exchange and corporate governance. During his working career, Lawrence had worked in the engineering and financial sectors principally as Regional Financial Controller/Corporate Treasurer and Corporate Secretary. He had worked with a local subsidiary of an Australian public listed company, an American commodities futures brokerage house, a local stock and commodities future brokerage house, a local subsidiary of a Hong Kong bank and brokerage house, a Singapore based British Merchant bank and also with a Singapore public listed company. Lawrence is a Fellow of the Institute of Chartered Secretaries and Administrators (FCIS), United Kingdom. He is currently the Honorary Secretary of the Singapore Association of the Institute of Chartered Secretaries and Administrators (SAICSA) and also chair the Corporate Secretarial Practice subcommittee of SAICSA. The introduction of the Singapore Code of Corporate Governance 2005 means that firms should be implementing changes for announcement at AGMs from January 1st 2007.
